Before creating an account or using the Services, you must affirmatively accept these Terms and the Acceptable Use provisions by clicking “I agree.” We record the version accepted and the date and time of acceptance. By accessing and using this Site you agree to follow and be bound by these terms and conditions. If you do not agree, you may not access or use this Site or the Services.

2. ELIGIBILITY

You must be at least 18 years old to use the Site or the Services. By using them, you represent that you are 18 or older.

3. THESE TERMS AND CONDITIONS MAY CHANGE

We may update or modify these terms and conditions and the Acceptable Use provisions. 5. USERNAMES, PASSWORDS AND SECURITY

6. UPDATING USER INFORMATION

You or your company must notify MagneticProxy promptly if any information provided as part of any registration process (the “user information”) changes, or if you become aware that any user information is inaccurate or incomplete. If you cease to be authorized by your company to use this Site, your company must promptly notify MagneticProxy, and you are no longer authorized to use this Site.

As between you, your company, and MagneticProxy, MagneticProxy shall have sole and exclusive ownership of all right, title, and interest in and to this Site, including its design, features, functionality, navigation, content, and “look and feel,” and all data collected through this Site, including all associated intellectual property rights.

7. ACCEPTABLE USE

You may use the Site and the Services for lawful purposes only. You may not use them: (a) in any way that violates any applicable federal, state, local, or international law or regulation; (b) to transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter,” or “spam”; (c) to impersonate or attempt to impersonate MagneticProxy, a MagneticProxy employee, another user, or any other person or entity; or (d) to engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Site or Services, or which may harm MagneticProxy or others or expose them to liability.

Without limiting the foregoing, you may not use the Services to: (i) access any computer, account, or network without authorization, including credential stuffing, brute-forcing, or account takeover; (ii) engage in fraud, including payment, advertising, or click fraud; (iii) distribute malware, ransomware, or phishing, or operate command-and-control infrastructure; (iv) transmit, access, or distribute child sexual abuse material (CSAM) or any content that sexually exploits minors; (v) conduct denial-of-service attacks; or (vi) infringe intellectual property or breach the access controls or terms of any target website. We prohibit only unlawful activity; lawful use consistent with these Terms, the Individual User Terms and Conditions, and applicable law is permitted.

8. SANCTIONS AND EXPORT COMPLIANCE

You represent and warrant that you are not, and are not acting on behalf of, a person located in, ordinarily resident in, or organized under the laws of a comprehensively sanctioned jurisdiction (currently Cuba, Iran, North Korea, and the Crimea, Donetsk, and Luhansk regions of Ukraine), and that you are not on the U.S. Treasury OFAC Specially Designated Nationals (SDN) List or any equivalent list. You will not use the Site or the Services in violation of U.S. sanctions or export control laws. We may screen users against sanctions lists and suspend or terminate accounts to comply.

MagneticProxy provides rotating residential proxy services for lawful data collection and related business use. The Services are not a consumer VPN or an anonymity tool for evading the law and may not be used to conceal unlawful activity. 16. ENTIRE AGREEMENT

These terms and conditions, together with the Individual User Terms and Conditions and the Privacy Policy, constitute the entire agreement between you and your company and MagneticProxy with respect to your access to and/or use of this Site and the Services. These terms and conditions shall not be amended except as expressly set forth herein.

17. SUSPENSION AND TERMINATION

We may suspend or terminate your access to the Site or the Services at any time, including for violation of these Terms, the Individual User Terms and Conditions, the Acceptable Use provisions, or applicable law, or on a reasonable belief of unlawful or abusive use. Notwithstanding any termination, we may retain data and records where necessary to (a) comply with legal obligations, (b) preserve evidence in connection with an actual or reasonably anticipated investigation, claim, or legal process, or (c) meet child-safety preservation and reporting duties. A suspended user may request review of the decision at appeals@magneticproxy.com. All provisions of this Agreement that, by their nature, should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

MagneticProxy makes no representations or warranties of any kind, express or implied, as to their operation or the information, content, materials, or products included on the Site. 19. GOVERNING LAW AND JURISDICTION

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms shall be settled amicably or, if that is not possible, in the state or federal courts located in Delaware, USA.

To report abuse of the Site or the Services, contact abuse@magneticproxy.com. Law enforcement requests should be directed to legal@magneticproxy.com. We maintain a process to review and act on these reports on a prioritized basis.
